1. About SoulTrade Software

SoulTrade Software produces CrystalSolutions, PraxisClinic and SoleTrader -- practice management and accounting software for self-employed practitioners and sole traders in the UK. These terms govern your use of our software and services. Our contact address is jol@soul-trade.com.

2. Licence

On purchase of a licence, SoulTrade Software grants you a non-exclusive, non-transferable licence to install and use the software on a single server or local network for your own professional practice. You may not:

• Redistribute, resell or sublicense the software to third parties
• Remove or alter any copyright notices or branding
• Use the software to provide a competing hosted service

A separate licence is required for each independent installation.

3. Self-hosted software

Our software is supplied as a self-hosted application. You are responsible for:

• Installing and maintaining the software on your own server or local network
• Keeping your server software, PHP and database up to date
• Regular backups of your data
• Securing access to your installation

SoulTrade Software does not host, manage or have access to your installation or data.

4. MTD (Making Tax Digital) module

The optional MTD module connects your software directly to HMRC for quarterly Income Tax submissions. Use of this module is subject to the following additional terms:

• You are responsible for obtaining your own HMRC developer credentials and registering your redirect URIs with HMRC
• You are solely responsible for the accuracy of figures submitted to HMRC
• SoulTrade Software accepts no liability for any submission made in error or for any penalties arising from incorrect or late submissions
• The MTD module must be used in accordance with HMRC's own terms of service
• If your installation is shared with other practitioners, you are responsible for ensuring only your own income and expenditure is included in any submission

5. Data and privacy

Because the software is self-hosted, all patient, client and financial data remains on your own server. SoulTrade Software does not collect, store or process your practice data. Please see our Privacy Policy for full details of how data is handled in connection with the MTD module and HMRC.

6. Updates and support

We provide software updates and support on a reasonable endeavours basis. We reserve the right to discontinue support for older versions of the software with reasonable notice. Support is provided by email at jol@soul-trade.com.

7. Warranties and liability

The software is provided in good faith and we take care to ensure it works correctly. However:

• The software is provided “as is” without warranty of any kind, express or implied
• We do not warrant that the software will be error-free or uninterrupted
• Our liability to you shall not exceed the amount paid for your licence in the 12 months preceding any claim
• We are not liable for any loss of data, loss of income or indirect losses arising from your use of the software

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to these terms

We may update these terms from time to time. The current version will always be available at soul-trade.com/terms.html. Continued use of the software after any changes constitutes acceptance of the updated terms.
